These Terms of Service ("Terms") govern your purchase and use of HelpDesk Prosoftware ("Software"), developed and distributed by OaklandSoft ("we", "us", "our"). By purchasing or using the Software, you agree to be bound by these Terms.
Important: All purchases of HelpDesk Pro are processed byPaddle Payments, which acts as our Merchant of Record. Payment processing, tax collection, and invoicing are handled by Paddle under their ownTerms of Service.
Upon purchase, OaklandSoft grants you a non-exclusive, non-transferable, perpetual licenseto install and use the Software on your own infrastructure, subject to the limitations of the plan you purchased (Starter, Professional, Business, or Enterprise).
The license is limited to the number of agents specified in your plan: technicians, managers, and admins, each with its own limit (end users and inventoried assets are unlimited in all plans). You may install the Software on one production server instance per license.
Each agent account belongs to one specific person and may not be shared: several people may not use the same account. You may deactivate the account of someone who stops using the Software and add another person; deactivated accounts do not use a license seat.
You can evaluate all features of HelpDesk Pro before buying via our live public demo atdemo.oaklandsoft.com.
Upon purchase through Paddle, you will immediately receive an email with instructions and access to download the software package and complete the activation process of your perpetual license.
Pursuant to Paddle's buyer policies, you have fourteen (14) calendar days from the date of purchase to request a full refund if the software does not meet your expectations.
Each initial purchase includes twelve (12) months of email technical support and software updates from the date of purchase. During this period, you will receive:
After the initial 12 months, you may choose an optional annual renewal subscription to maintain access to technical support and new releases. Renewal is entirely optional; your license is perpetual and your Software will continue to function indefinitely without it.
HelpDesk Pro is a self-hosted, on-premise software. This means:
The Software, including all source code, design, documentation, and related materials, is and remains the exclusive intellectual property of OaklandSoft. The license granted is alicense of use only, meaning you do not acquire ownership of the code.
You agree not to:
The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. OaklandSoft does not guarantee that the Software will be error-free, uninterrupted, or meet your specific requirements.
You acknowledge that self-hosted software depends on your own infrastructure, network configuration, and system administration. OaklandSoft is not responsible for issues caused by your environment, third-party integrations, or misconfiguration.
To the maximum extent permitted by applicable law, OaklandSoft's total cumulative liability for any claims arising from or related to these Terms or the Software shall not exceed thetotal amount you paid for the license.
OaklandSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
OaklandSoft reserves the right to revoke or terminate your license in the event of a breach of these Terms, specifically if you violate the restrictions set forth in Section 7 (such as reselling the license, unauthorized distribution to third parties, reverse-engineering, or publicly sharing your license key).
In the event of termination for breach:
Voluntary termination: You may terminate this agreement at any time by uninstalling the Software from your server. No refund will be provided for voluntary termination after the initial 14-day refund period.
All purchases are processed by Paddle Payments (Merchant of Record) and are subject toPaddle's Terms of Serviceregarding payment, billing, taxes, and dispute resolution.
For matters related to the Software license and usage (Sections 1–10 of these Terms), disputes shall be resolved under the laws of the State of Delaware, United States, consistent with Paddle's legal framework.
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Software after changes constitutes acceptance of the revised Terms.
